Our Terms Of Use

IN THIS DOCUMENT "YOU" or "CLIENT(S)" MEANS ANY CLIENT OF CANADIAN VIRTUAL TOURS INC. (C.V.T.) WHO HAS RECIEVED A WRITTEN CONFIRMATOIN OF LICENSE AT THE TIME OF BILLING, OR A CLIENT OF TOUREALITY.COM - NATHAN CONOVER WHERE APPLICABLE (see Miscellaneous section of this page).

THIS IS A LEGAL AND BINDING AGREEMENT BETWEEN YOU AND C.V.T., RELATING TO THE TERMS OF USE WHICH GOVERN ALL OTHER AGREEMENTS MADE BY C.V.T. TO YOU.

General Rules and Definitions

You agree to abide by all of the TERMS OF USE contained in this Agreement in order to become and remain an authorized Client(s) of C.V.T. C.V.T. reserves the right, at its sole discretion, to change, modify, add or remove portions of this Agreement at any time. Notification of such changes will be posted on this webpage. If any future changes in or additions to this agreement are unacceptable to you, or cause you to no longer be in compliance with this agreement, your only recourse is to terminate this agreement by closing your tour(s). Your continued use of the service now, or following the posting of notice of any changes in or additions to this agreement will constitute a binding acceptance by client of such changes and or additions. C.V.T. may change, suspend or discontinue any aspect of its Products or Services at any time. Your relationship to C.V.T. is one of an independent contractor and/or customer. No employer-employee, agency, joint venture, franchise, sales representative or partnership relationship is created by this Agreement. You have no obligation to refer anyone to the C.V.T. System. Further, C.V.T. has no obligation to offer its services or other promotions to the you. You may not modify, create derivative works from, reverse engineer, decompile or disassemble any part of C.V.T's websites or its Products and Services, or any portion thereof. You agree to hold C.V.T. harmless and fully indemnify from any and all liability that may arise, either directly or indirectly, from any of the content on your Virtual Tours including but not limited to: (a) accuracy of descriptions, (b) accuracy of representations, (c) copyrighted material, (d) intellectual or private property.

Intellectual Property Notices

You acknowledge that C.V.T. owns the intellectual property rights to its own text, photos, and virtual tours, including without limitation rights protected by patent, copyright, trademark, trade secret and right of publicity laws. Nothing in this Agreement creates, or is intended to create, any right, title or interest for the benefit of one party in the intellectual property rights of the other party. click for the full licensing agreement.
In the event that C.V.T. receives a copyright and/or trademark infringement notice regarding the content found in your Virtual Tours or other content, C.V.T. will reserve the right to share your personal information with the parties involved in the copyright dispute.

Notice of Copyright

In order to comply with the Copyright Act, C.V.T. is providing the following notice of its Copyright Agent. If you think that your copyright is being infringed by a person or professional, company or institution that is using C.V.T. products or services, please contact C.V.T.
C.V.T. has retained the right to terminate any Account if we believe that it is infringing on another party's intellectual property rights. In your notice, please provide the following: (a) Provide an electronic or physical signature of the person authorized to act on behalf of the copyright owner. (b) Describe the copyrighted work that you claim has been infringed. (c) Describe where the material that you claim is infringing is located on the site. (d) Provide your address, telephone number, and email address. (e) Provide a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law. (f) Provide a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Acceptable Use

C.V.T. may terminate your account and this Agreement at any time, without notice, for conduct that violates these guidelines or is found to be harmful to the business of C.V.T., or any of its other clients. The following is a nonexclusive list of content and behaviors that are UNACCEPTABLE to C.V.T. (a) post, upload or otherwise transmit any content not related to appropriate subject matters; (b) post, upload or otherwise transmit any content which is misleading to others, including consumers; (c) post, upload or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (d) post, upload or otherwise transmit any content that you do not have a right to post and transmit under any law or under contractual relationships; (e) post, upload or otherwise transmit any content, such that such posting, uploading, or transmission constitutes the infringement of any patent, trademark, trade secret, copyright or other proprietary rights of any party; (f) post, upload or otherwise transmit any materials that contain software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or (g) intentionally or unintentionally violate any applicable local, state, national or international law, or any regulations having the force of law. (h) harvest or otherwise collect information about others, including e-mail addresses. (i) create a false identity for the purpose of misleading others.

Client(s), Terms Of Use

C.V.T. does not warrant any availability of Products and Services. C.V.T. Products and Services may be suspended from time-to time for scheduled maintenance, for unscheduled down-time or for any other reason without notice. C.V.T. is not responsible for any deletion, alteration or loss of data due to network or system outages, file corruption, accidental deletion or any other reasons. C.V.T. makes no guarantees as to server reliability, speed or consistency, and cannot be held liable for such. You understand that the C.V.T. Products and Services are made available on an "as-provided" basis without warranty, either express or implied. C.V.T. reserves the right to refuse any submission from a Client(s) in its sole discretion. Client(s) shall provide C.V.T. with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of this Agreement. Client(s) is responsible for all usage or activity within the Client(s)'s account, including use of the account by any third party authorized by the Client(s). C.V.T. has no control over the Internet and cannot prevent the interception of information by unauthorized parties. Accordingly, under no circumstances will C.V.T. be responsible for any loss or damage incurred by Client(s) as the result of unauthorized interception or decryption of information transmitted by Client(s) or C.V.T.
C.V.T. respects our Client(s) privacy and does not sell, rent or give any identifiable personal information regarding its customers to any third party unless provided for such purpose. By registering with C.V.T., Client(s) agrees to accept our privacy policy and is aware that our policy may change at any time. The full policy will always be available on our Website. Termination

If C.V.T. terminates this Agreement or any other written agreement; C.V.T. will send an email to the Client(s). If you have supplied an inactive email address, C.V.T. may terminate Agreements without any notice. If you terminate, you must inform C.V.T. in writing at info@canadianvirtualtours.com In the event that you violate the intellectual property rights of a third party, this
Agreement may be terminated immediately without notice.

Indemnification

Client(s) of C.V.T. indemnify and agree to defend and hold C.V.T. harmless from any claim, demand, action, damage, loss, costs or expenses, including reasonable attorneys' fees relating to Client(s) use of C.V.T. Products and Services or any violation of this Agreement, including but not limited to Client(s) infringement of the intellectual property rights of a third party.

Representations and Warranties

C.V.T.'s products and services are distributed on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose. Client(s) hereby acknowledges that use of the C.V.T. products and services is at clients sole risk. Each party represents and warrants to the other party as follows: (a) it has the full power and authority and has taken all action necessary to enter into and perform this Agreement; (b) the execution and performance by it of its obligations hereunder do not constitute a breach of, or conflict with, any other agreement or arrangement, whether written or oral, by which it is bound; and (c) this Agreement is a legal, valid and binding obligation of the party executing this Agreement, enforceable in accordance with the terms and use hereof.

Fees, Payment and Term

As consideration for the products and services the Client(s) has selected, Client(s) agrees to pay the applicable fees. All fees payable hereunder are non-refundable. If the Client(s) has purchased a package that is billed monthly the Client(s) will be charged every month on the day the Client(s) first purchased ANY products. If the Client(s) has purchased a package that is billing yearly the Client(s)'s credit card will be charged every year on the day the Client(s) first purchased ANY products. If the Client(s) does not wish to renew a Monthly or Annual Service agreement the Client(s) must cancel the account by submitting a request to C.V.T. All cancellations must be requested via written communication. Canceling an account does not equal "refunding" an account. A cancellation refers to the deactivation of one or all products and services provided by C.V.T. The Client(s) will be required to pay any outstanding charges owed. All Bank Disputes and Bank Issued Charge Backs result in the complete cancellation of the Client(s) account. All Bank Disputes and Charge Backs are reported to the Client(s)'s Credit Agency. Charge Backs result in the forfeiture of all C.V.T.'s Products and Services. The client will be charged a fee in order to reactivate the client's account after a Bank Charge Back.

Miscellaneous

Any written agreement(s) made between Toureality.com - Nathan Conover and Client(s) on or before March 30th, 2006, shall be assummed by C.V.T and upheld pursuant to the terms and conditions defined herein until the end of said contract term definded in such agreement(s).

This Agreement has been made in, and shall be construed and enforced in accordance with Canadian Federal & Ontario Provincial law without reference to conflict of law principles. Any action to enforce this Agreement shall be brought in the Provincial courts located in Ontario, Canada.

C.V.T. reserves the right to modify these terms and conditions at any time.Changes will be posted on this page, so we encourage you to return and review this policy and keep informed of any changes.
